Federal Terms and Conditions

1. This Invitation to Bid is funded by the Federal Fiscal Year 2024 Homeland Security Grant Program, Assistance Listing Number (ALN) 97.067. Pierce County has determined that the contract awarded from this bid will result in a contractor relationship under 2 CFR 200.331. 2. Pierce County is a party to litigation involving the Department of Homeland Security, which has currently resulted in a preliminary injunction prohibiting the Department from placing certain conditions on funding. A future adverse ruling is not likely to impact the FFY 24 funding for this project. In the event that this funding is impacted, the County may be required to modify or terminate the contract.3. The following federal contract requirements will apply to the contract awarded from this bid:a. Contract Work Hours and Safety Standards Act (40 U.S.C. 3701-3708). The Contractor must comply with 40 U.S.C. 3702 and 3704, as supplemented by Department of Labor regulations (29 CFR Part 5). Under 40 U.S.C. 3702 of the Act, the Contractor must compute the wages of every mechanic and laborer on the basis of a standard work week of 40 hours. Work in excess of the standard work week is permissible provided that the worker is compensated at a rate of not less than one and a half times the basic rate of pay for all hours worked in excess of 40 hours in the work week. The requirements of 40 U.S.C. 3704 are applicable to construction work and provide that no laborer or mechanic must be required to work in surroundings or under working conditions which are unsanitary, hazardous or dangerous. These requirements do not apply to the purchases of supplies or materials or articles ordinarily available on the open market, or contracts for transportation or transmission of intelligence.b. Clean Air Act (42 U.S.C. 7401-7671q.) and the Federal Water Pollution Control Act (33 U.S.C. 1251-1387). The Contractor agrees to comply with all applicable standards, orders or regulations issued pursuant to the Clean Air Act (42 U.S.C. 7401-7671q) and the Federal Water Pollution Control Act as amended (33 U.S.C. 1251-1387). Violations must be reported to the Federal awarding agency and the Regional Office of the Environmental Protection Agency (EPA).c. Debarment. By signing this Agreement, the Contractor certifies that they are not listed on the governmentwide exclusions in the System for Award Management (SAM), in accordance with the OMB guidelines at 2 CFR 180 that implement Executive Orders 12549 (3 CFR part 1986 Comp., p. 189) and 12689 (3 CFR part 1989 Comp., p. 235), “Debarment and Suspension.”d. Byrd Anti-Lobbying Amendment (31 U.S.C. 1352). The Contractor must file the required Byrd Anti-Lobbying certification. Each tier certifies to the tier above that it will not and has not used Federal appropriated funds to pay any person or organization for influencing or attempting to influence an officer or employee of any agency, a member of Congress, officer or employee of Congress, or an employee of a member of Congress in connection with obtaining any Federal contract, grant or any other award covered by 31 U.S.C. 1352. Each tier must also disclose any lobbying with non-Federal funds that takes place in connection with obtaining any Federal award. Such disclosures are forwarded from tier to tier up to the non-Federal award.e. Procurement of recovered materials. The Contractor must comply with section 6002 of the Solid Waste Disposal Act, as amended by the Resource Conservation and Recovery Act of 1976 as amended, 42 U.S.C. 6962. The requirements of Section 6002 include procuring only items designated in the guidelines of the Environmental Protection Agency (EPA) at 40 CFR part 247 that contain the highest percentage of recovered materials practicable, consistent with maintaining a satisfactory level of competition, where the purchase price of the item exceeds $10,000 or the value of the quantity acquired during the preceding fiscal year exceeded $10,000; procuring solid waste management services in a manner that maximizes energy and resource recovery; and establishing an affirmative procurement program for procurement of recovered materials identified in the EPA guidelines.f. Prohibition on certain telecommunications and video surveillance equipment or services. Funds provided to the Contractor under this agreement shall not be used to:i. Procure or obtain covered telecommunications equipment or services;ii. Extend or renew a contract to procure or obtain covered telecommunications equipment or services; oriii. Enter into a contract (or extend or renew a contract) to procure or obtain covered telecommunications equipment or services.As described in section 889 of Public Law 115-232, “covered telecommunications equipment or services” means any of the following:i. Telecommunications equipment produced by Huawei Technologies Company or ZTE Corporation (or any subsidiary or affiliate of such entities);ii. For the purpose of public safety, security of government facilities, physical security surveillance of critical infrastructure, and other national security purposes, video surveillance and telecommunications equipment produced by Hytera Communications Corporation, Hangzhou Hikvision Digital Technology Company, or Dahua Technology Company (or any subsidiary or affiliate of such entities);iii. Telecommunications or video surveillance services provided by such entities or using such equipment;iv. Telecommunications or video surveillance equipment or services produced or provided by an entity that the Secretary of Defense, in consultation with the Director of the National Intelligence or the Director of the Federal Bureau of Investigation, reasonably believes to be an entity owned or controlled by, or otherwise connected to, the government of a covered foreign country;For the purposes of this section, “covered telecommunications equipment or services” also include systems that use covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system.g. Domestic preferences for procurements. The Contractor should, to the greatest extent practicable and consistent with law, provide a preference for the purchase, acquisition, or use of goods, products, or materials produced in the United States (including but not limited to iron, aluminum, steel, cement, and other manufactured products). For purposes of this section, “Produced in the United States” means, for iron and steel products, that all manufacturing processes, from the initial melting stage through the application of coatings, occurred in the United States; and “Manufactured products” means items and construction materials composed in whole or in part of non-ferrous metals such as aluminum; plastics and polymer-based products such as polyvinyl chloride pipe; aggregates such as concrete; glass, including optical fiber; and lumber.

Reserved Rights and Procedures:1. Pierce County expressly reserves the following rights:To waive any and/or all irregularities in the proposals submitted.To reject any or all proposals or portions thereof.To base awards with due regard to quality of services, experience, compliance with specifications, and other such factors as may be necessary in the circumstances.To make the award to any vendor or combination of vendors whose proposal(s), in the opinion of the County, is in the best interest of the County.2. Pierce County cannot accept late proposals.3. Reimbursement: The County will not reimburse proposers for any costs involved in the preparation and submission of responses to this RFP or in the preparation for and attendance at subsequent interviews.4. Cooperative PurchasingThe Washington State Interlocal Cooperation Act, Ch. 39.34 RCW, authorizes public agencies to cooperatively purchase goods and services if all parties agree. By responding to this RFP, Consultants agree that other public agencies may purchase goods and services under this solicitation or contract at their own cost and without Pierce County incurring any financial or legal liability for such purchases. Pierce County agrees to allow other public agencies to purchase goods and services under this solicitation or contract, provided that Pierce County is not held financially or legally liable for purchases and that any public agency purchasing under such solicitation or contract file a copy of this invitation and such contract in accordance with RCW 39.34.040.5. Public Records and Proprietary MaterialProposers should be aware that any records they submit to the County or that are used by the County even if the proposers possess the records may be public records under the Washington Public Records Act (RCW 42.56). The County must promptly disclose public records upon request unless a statute exempts them from disclosure. Proposers should also be aware that if even a portion of a record is exempt from disclosure, generally, the rest of the record must be disclosed. Exemptions are narrow and specific.Proposers should clearly mark any record they believe is exempt from disclosure.6. Title VI CompliancePierce County, in accordance with Title VI of the Civil Rights Act of 1964, 78 Stat. 252, 42 U.S.C. 2000d to 2000d-4 and Title 49, Code of Federal Regulations, Department of Transportation, subtitle A, Office of the Secretary, Part 21, nondiscrimination in federally assisted programs of the Department of Transportation issued pursuant to such Act, hereby notifies all bidders that it will affirmatively ensure that in any contract entered into pursuant to this advertisement, disadvantaged business enterprises as defined at 49 CFR Part 26 will be afforded full opportunity to submit bids in response to this invitation and will not be discriminated against on the grounds of race, color, or national origin in consideration for an award.

Evaluation & Award Process

An evaluation team will review the bidding documents and evaluate all responses received based upon the criteria listed herein. The County may request clarifications or additional information, if needed. The proposer determined to be most qualified through the initial evaluation phase may be interviewed and the final determination will also consider reference checks and interviews.The County intends to select the Contractor most qualified for this pursuit/solicitation and begin the negotiation and award process based on the requirements of this solicitation.Selected Proposer(s) will be invited to enter into contract negotiations with the County. Should the County and the selected proposer not reach a mutual agreement, the County will terminate negotiations and move to the next ranked contractor and proceed with negotiations. A Proposer’s inability to agree to the terms of the County’s standard contract may be a basis for the County to terminate negotiations and begin negotiating with one or more other Contractors.The County reserves the right to accept or reject any or all submitted bids, to waive as informalities any irregularities, and to contract as the best interest of the County may require. The County may reject bids that are non-responsive or that are submitted by non-responsible contractors.

Please refer to the attached Invitation to Bid packet (Attachment A) for details and additional bidding instructions.In the ITB Bid Packet (Attachment A), Section 2 MODULAR CONSTRUCTION states "NO EXCEPTIONS FOR MODULAR CONSTRUCTION SPECIFICATIONS". To clarify, this is to ensure that the core body design-modular EOD vehicle construction is not substituted or altered. For other vehicle components and specifications (such as interior layout, electrical system, lighting, etc.), the County is open to equivalent alternatives that meet or exceed our operational requirements.If a bidder proposes an exception or equivalent, they are required to list those in a separate document uploaded in addition to their proposal, titled ‘Exceptions and Equivalents’ with detailed justifications and supporting specifications for reviewing during the evaluation process.

Expected Term of Resulting Contract

This is a one-time funding opportunity. The value of the resulting contract: $404,541The completed vehicle to be delivered to Pierce County Department of Emergency Management, no later than July 15th, 2027.

USE AND COMPLETION OF COUNTY PROPOSAL

A. Bidder's ProposalEach Bidder must bid exactly as specified on the Invitation to Bid (hereinafter referred to as bid) sheets. All bids must remain open for acceptance by the County for a period of at least 60 calendar days from the date of opening of the bids.B. Alterations of Proposals Not AllowedProposals that are incomplete or conditioned in any way, contain alternatives or items not called for in the General Provisions and Specifications, or not in conformity with law may be rejected as being nonresponsive. The County cannot legally accept any proposal containing a substantial deviation from these Specifications.C. Submitting a Bid to the CountyAll proposals must be made via the County's eProcurement Portal.

BID QUESTIONS

All questions must be submitted within the County's eProcurement Portal, under the Questions and Answer Section no later than 4:00 pm on Wednesday, December 31, 2025. Bidders must be registered in the eProcurement Portal software to submit questions, receive addenda, notifications and ultimately submit a proposal.Proposals must be received by the Procurement & Contract Services and the Finance Department before 1:00 pm on Wednesday, January 21, 2026. The proposer is responsible for submission of proposal before the deadline. The County shall not be responsible for late submittals.

CLARIFICATION OF PROPOSAL FOR BIDDER

If a prospective Bidder has any questions concerning any part of the Bid/Proposal, he/she must submit a request via Pierce County's eProcurement Portal Q&A section. Questions received by 4:00 pm on Wednesday, December 31, 2025. Any interpretation of the Bid will be made by an Addendum duly issued via the County's eProcurement Portal to each prospective Bidder registered as a Follower. Such addendum must be acknowledged via the County's eProcurement Portal. Pierce County will not be responsible for any other explanation or interpretation of the bid documents.

DELIVERY OF PROPOSALS TO PIERCE COUNTY

All bid proposals and documents must be delivered via the County's eProcurement Portal, prior to the scheduled time and date stated in the Invitation to Bid. Pierce County shall assume no responsibility for delay of bids. No other submittal process will be accepted. Bids cannot be received after 1:00 pm on Wednesday, January 21, 2026. There will be no exceptions or waivers of this requirement.

BID IS NONCOLLUSIVE

The Bidder represents by the submission of the Proposal that the prices in this Bid are neither directly nor indirectly the result of any formal or informal agreement with another bidder.

EVALUATION OF BID

In the evaluation of otherwise responsive bids, the Bidder's experience, delivery time and responsibility in performing other contracts will be considered. In addition to price, the following may be considered: The ability, capacity and skill of the bidder to perform the contract, provide the services required. Whether the bidder can perform the contract or provide the service promptly, or within the time specified, without delay or interference. The character, integrity, reputation, judgment, experience and efficiency of the bidder. The quality of performance of previous contracts or service. The previous and existing compliance by the bidder with laws and ordinances relating to contracts or services. The sufficiency of the financial resources and ability of the bidder to perform the contact or provide the service. The quality, availability and adaptability of the supplies or contractual services to the particular use required. The ability of the bidder to provide future maintenance and service for the use of the subject of the contract. Compliance with all affirmative action requirements, minority business enterprise and women's business enterprise subcontracting and contracting requirements.Insertions of Material Conflicting with SpecificationsOnly material inserted by the Bidder to meet requirements of the Specifications will be considered. Any other material inserted by the Bidder will be disregarded as being nonresponsive and may be grounds for rejection of the Bidder's Bid/Proposal.Correction of Ambiguities and Obvious ErrorsThe County reserves the right to correct obvious ambiguities and errors in the Bidder's proposal and to waive non-material irregularities and/or omissions. In this regard, if the unit price does not compute to the extended total price, the unit price shall govern. Written prices will govern over numeric prices.

WITHDRAWAL OF BID

A. Prior to Bid OpeningAny Bidder may withdraw his/her Bid prior to 1:00 pm on Wednesday, January 21, 2026 via the County's eProcurement Portal.B. After Bid OpeningNo bidder will be permitted to withdraw his/her Bid/Proposal after the time of bid opening, as set forth in the Invitation To Bid, and before the actual award of the Contract, unless the award of Contract is delayed more than sixty (60) calendar days after the date set for bid opening. If a delay of more than 60 calendar days does occur, then the Bidder must submit written notice withdrawing his/her Bid to the Pierce County Purchasing Agent.

OPENING OF BIDS

At the time and place set for the opening of bids, all Proposals, unless previously withdrawn, will be publicly opened and read aloud, irrespective of any irregularities or informalities in such Proposal.

TAXES

The County will pay sales and use taxes imposed on goods or services acquired hereunder as required by law. The Vendor must pay all other taxes including, but not limited to: Business and Occupation Tax, taxes based on the Vendor's gross or net income, or personal property to which the County does not hold title. The County is exempt from Federal Excise Tax. Where applicable the County shall furnish a Federal Excise Tax Exemption certificate

AWARD

The County reserves the right to award a contract for any or all items to one or more Bidders, to reject any and all Bids or any item(s) within the Bids, to waive any informality in the Bids, and to call for new Bids as best meets the needs of the County.
